1. The Agreement

This Agreement is a binding contract between TalentSheets Holdings, LLC ("TalentSheets", "we", "us") and the person or entity enrolling in our affiliate program ("you"). By enrolling or promoting an Affiliate Link, you accept this Agreement and our published Program Policies and Schedule A. Participation requires our approval of your application, which we may grant or deny in our discretion. You must be 18 or older, able to contract, and not barred by law or sanctions. We are independent contractors; this Agreement creates no employment, agency, partnership, or exclusivity.

2. Key Definitions

"Service" means our Google Sheets–native influencer-marketing platform (Chrome Extension, Sheets Add-On, and related subscription features). "Affiliate Link" means the unique tracking link we assign you. "Referred Customer" means a new paying subscriber who first reached the Service through your Affiliate Link within the attribution window in Schedule A, and who was not, within the 90 days before that click, an existing or prior customer, trial user, or prospect already in our pipeline. "Net Revenue" means subscription fees we actually receive from a Referred Customer, excluding taxes, discounts, refunds, chargebacks, uncollected amounts, and payment-processing fees.

3. Commissions

We will pay you the revenue-share percentage of Net Revenue stated in Schedule A for each Referred Customer, for the duration, holding period, payout threshold, and payment schedule stated there. Attribution is last-click and depends on cookies and similar technology; we are not liable for referrals that cannot be tracked. Only one commission is paid per referred subscription. No commission is owed on self-referrals, refunds, chargebacks, or uncollected amounts. Commissions are forfeited if your payment or tax information remains incomplete 6 months after the transaction. Payments are in USD.

4. Free Account & Content Commitment

As an approved affiliate, you receive a complimentary TalentSheets account for the duration of your participation. In exchange, you agree to publish at least one piece of content promoting the Service each calendar quarter. If you do not, we may pause or revoke your free account, though commissions you have already earned on qualifying referrals remain payable under Section 3.

5. Marketing Rules

You must clearly disclose your material connection to TalentSheets in every promotion (per the FTC Endorsement Guides and comparable non-U.S. rules) and follow each platform's ad-disclosure policies. Use only truthful claims and creative we provide or approve. Comply with anti-spam and messaging laws (CAN-SPAM, TCPA, CASL, GDPR/ePrivacy). Do not bid on TalentSheets trademarks in paid search, manipulate tracking, or use cookie stuffing, bots, or incentivized or fraudulent traffic.

6. Brand License; IP; Confidentiality

We grant you a limited, revocable, non-exclusive license to use the TalentSheets marks we supply, unaltered, solely to promote the Service. We retain all rights in the Service and our content. Each party will protect the other's non-public information with reasonable care.

7. Term and Termination

Either party may terminate for convenience on 15 days' written notice (email suffices). We may suspend or terminate immediately for breach, fraud, or invalid traffic. On termination you will remove all Affiliate Links. If we terminate without cause, we pay commissions on qualifying transactions recognized within 30 days after termination, subject to holding periods and clawbacks.

8. Disclaimers & Liability

The program, dashboard, links, and materials are provided "as is" without warranties of any kind. We make no guarantee of referrals or earnings. Neither party is liable for indirect or consequential damages. Our total liability will not exceed the commissions paid or payable to you in the 12 months before the claim.

9. Indemnification

You will indemnify and hold harmless TalentSheets from any third-party claim arising from your promotional activities, your content or channels, your handling of personal data, or your breach of this Agreement or applicable law.

10. General

We may modify this Agreement or Schedule A prospectively by posting the update and notifying you of material changes. Governed by the laws of the State of Delaware; disputes resolved by binding individual arbitration. This Agreement plus the Program Policies and Schedule A are the entire agreement.

Schedule A — Program Economics

Commission	20% of Net Revenue, recurring, for 12 months from the Referred Customer's first paid subscription.
Attribution Window	90 days from first click (last-click attribution).
Holding Period	30 days after each transaction before commission accrues.
Payout	Monthly in arrears via Stripe or PayPal; US$50 minimum threshold (smaller balances roll forward).
